2 A Letter from our Chair Thank you for your interest in becoming a Trustee and Honorary Treasurer with us. It is an exciting time for the charity with a number of promising new work areas, a raised profile for the charity and ambitious plans for the coming five years. To help with this work and to replace four of our trustees who have come to the end of their terms of office, the Board is seeking to recruit a new Honorary Treasurer (who will also be a Trustee) to help move the charity forward, in addition to three further new Trustees. In this pack you will find some essential information about the Trustee and Honorary Treasurer role, the commitment and some general information about the charity so that you can decide whether you would like to apply. Further information can also be found at our website If you feel you can meet the commitment required and would like to be considered further, please send a CV and Supporting Statement highlighting interest and suitability to the role to carroll.lloyd@nfpconsulting.co.uk or apply via the NFP website The closing date for applications is 9am on Monday 22 February (more details in the How to Apply section at the end of the pack). Interviews will take place on Monday 14 and Tuesday 15 March at the charity s offices in St Albans and then the final candidate will be invited to observe the Board meeting in London on Thursday 21 st April 2016, after which the Board will be asked to confirm the nomination (and the candidate will also be given the chance to confirm their interest). The nomination will then be put to the membership for formal election at our Annual General Meeting on 4 June Since joining Crohn s and Colitis UK as Chairman in 2010 I have been hugely impressed by the work I have seen being delivered by the charity and inspired by the many people I have met. But it is now time for me to hand the baton over and Sue Cherrie has been elected as our Chair Designate and will take office after the AGM in June We have to do more if we are to realise our vision of a world in which people s lives are not limited by Crohn s or Colitis. Our Board of Trustees, the staff team and our thousands of members, supporters, volunteers and fundraisers are passionate about helping us to deliver more. I hope that this recruitment pack will give you a sense of our ambition for the future and that you will be as excited as we are about the potential we see ahead of us. We are fighting to achieve a better quality of life for the 300,000 people in the UK suffering physically and emotionally from these and other forms of Inflammatory Bowel Disease (IBD). Ultimately, we want to find a cure. For more than 35 years, we ve been working with and for patients and their families, the nurses, doctors, and all those that work in healthcare that treat them, and the policymakers who can bring about change. We provide high quality information and support to enable people to manage their conditions. We believe people living with Crohn s and Colitis should be able to live their lives to the fullest. We work with the UK health sector to improve diagnosis, treatment and management of IBD. We want everyone with the conditions to have access to the best specialist services. We support lifechanging research to increase knowledge of the causes and the best treatments for Crohn s and Colitis. We want to improve lives now, and lead the mission to find a cure. We campaign vigorously alongside the IBD community and our partners for more knowledge, better services and more support for our ongoing fight against IBD. 6 Being a Trustee The statutory duty of a Trustee Crohn s and Colitis UK is constituted as a charitable company limited by guarantee so the Trustees have the same responsibilities and liabilities as a Board of Directors of any Limited Company. In particular, Trustees are responsible for: ensuring that the charity complies with its constitution, charity law and any other relevant legislation or regulations, works to fulfil its charitable objects and applies its resources exclusively in pursuance of its objects. contributing actively to the Board of Trustees role in giving firm strategic direction to the organisation, setting overall policy, defining goals and evaluating performance. safeguarding the good name and values of the charity. ensuring the effective and efficient management and administration of the charity. ensuring the financial stability of the charity. ensuring the proper investment of the charity s funds. employing and being responsible for the organisation s staff. using any specific knowledge or experience they have to help the Board of Trustees reach sound decisions. Qualifications and experience No specific qualifications are required to be a Trustee but you should have relevant expertise or experience which will enable you to make a positive contribution to the work of the Board at this critical time in the charity s development. Applicants with knowledge or experience in health services, the political environment or broad business experience are particularly encouraged. However, we welcome all applicants and the profiles of the current Board can be viewed on our website. What do we expect from our Trustees Board Meetings, committees, task and finish groups and awaydays After the June board meeting, we are changing when and where we hold our meetings. Meetings for the remainder of the year will be held on Saturdays (1 st October and 3 rd December) although the charity eventually aspires to move to a combination of weekends/weekdays, potentially all day or afternoons (so candidates are asked to consider whether they could manage this commitment). The charity s AGM also takes place on a Saturday. Trustees must be able to attend most meetings. In addition to attending the regular meetings, Board members are also expected to attend an annual awayday and to contribute to the charity s work in other ways, such as by acting as lead trustee for a particular area of work, or by playing a lead role on a task and finish group or committee, and by representing the charity at events Declarations and Requirements You will be asked to complete a Declaration of Conflicting Interests as well as a Fit and Proper Person form which confirms that you are eligible to be a Trustee. We also have a Trustee Code of Conduct which you will be required to abide by. Successful candidates will be required to become members of the charity if they are not already members at the time they are recruited. Employees of the charity cannot become Trustees. Page 6 of 10

7 What we offer our Trustees Whilst there is no remuneration attached to being a Trustee, travel and other reasonable expenses will be reimbursed, including, if necessary, the cost of overnight accommodation. 8 The Role of the Honorary Treasurer The overall role of the Honorary Treasurer is to maintain an overview of the charity s financial affairs, ensuring the financial viability of the charity and ensure that proper financial records and procedures are maintained. In fulfilling the role, the Honorary Treasurer will liaise closely with the Director of Finance and Corporate Services, the Chief Executive and the National Chairperson. Ideally the Honorary Treasurer will have a professional accounting qualification or have experience of working as a finance professional. Duties of the Honorary Treasurer (in addition to general Trustee responsibilities): Overseeing, approving and presenting financial management reports and bringing to the attention of the board any critical issues or emerging challenges. The Treasurer has oversight responsibility for compliance, both financial and regulatory and will satisfy him/herself that the necessary policies and procedures are in place to ensure compliance and good governance. Being assured that the financial resources of the charity meet its present and future needs and that there are appropriate reserves and investment policies in place. Overseeing the annual audit of accounts in collaboration with the Director of Finance and Corporate Services and ensuring that any recommendations are implemented and reported. Ensuring that the statutory accounts are prepared and disclosed in the form required by law ie in accordance with the Charities Act 2011 and the Charity Commission s Statement of Recommended Practice ( the SORP ). Making a formal presentation of the Statutory accounts at the Annual General Meeting, drawing attention to important points in a coherent and easily understandable way. Support the preparation of the annual budget for approval by the Board before the beginning of the new financial year and provide financial expertise where necessary. Advising the Trustees on the financial implications of the charity s strategic plans and key assumptions in the operational plan and annual budget. Monitoring the charity s investment activity and ensuring its consistency with the charity s policies, aims, objectives and legal responsibilities. Keeping the board informed about its financial duties and responsibilities. Chair the Finance and Audit Committee (a subcommittee of the board) and convey decisions of that Committee to the board. Ensure that the Charity s Risk Register is maintained and that it properly addresses the Charity s strategic and operational risks. Page 8 of 10

Interviews will be conducted by Sarah Bradley (Trustee), Sue Cherrie (Trustee and Chair Designate), David Barker (CEO), and Ian Donald (Director of Finance and Administration) at the charity s office in St Albans. Successful candidates will be invited to observe the Thursday 21st April Board meeting ( pm in Central London), after which the candidates will be nominated for election to the Board at the charity s AGM on Saturday 4 June (also in London).
