1 Garden of Life New Product Distribution Policy Updated May 1, 2017 This policy applies to most Garden of Life, Inc. ( GoL ) products introduced since January 1, 2007, a list of which is attached hereto as Exhibit A and may be updated periodically. For each of these products GoL has expended considerable resources around product development and scientific testing, and we are launching an unprecedented marketing campaign to educate our consumers and drive product demand. Our market positioning is an integral component of our brand and the successful launch and maintenance of these new products. The minimum resale price (the ) for all new Garden of Life products, as listed in Exhibit A, when sold online via the internet or internet call center ( E-Tail ) or listed in a print catalog will be a maximum discount of thirty percent (30.0%) off of our suggested retail sales price net of shipping. The only exception to this pricing policy is Wobenzym N which may be sold at a maximum discount of forty percent (40.0%) off our suggested retail sales price net of shipping charges. Please note, that as an E-Tailer, you are free to establish your own price, shipping policies and brand incentives/promotions. However, if GoL verifies to its satisfaction that any E-Tailer has advertised, offered, or sold any product at a price below the, then we will, without assuming any liability, cancel all orders and indefinitely refuse to accept any new orders for new Garden of Life products from that E-Tailer. GoL may, from time to time, offer or authorize at GoLs discretion certain national limited time promotions for its new products which may lower the price below the for the duration of that promotion. Those specials will be clearly announced in advance so that all wishing to participate may do so. GoL may authorize the use of coupon codes in mail promotions for its products which would allow for temporary pricing below the floor price. This policy has been created by us for the protection of our brand and for the benefit of everyone. GoL will not discuss or negotiate this policy. We will apply it fairly to everyone and it will not be altered for any E-Tailer. There are no employees at GoL who are authorized to make exceptions. We are not asking for or willing to accept any E-Tailers assurance of compliance and this Policy is not an agreement between GoL and any E-Tailer.
