Help us drive positive and significant change within the NHS and other health and care organisations. Working at the forefront of patient experience and staff engagement, we need new trustees to help us deliver our ambitious vision. October

2 Letter from Jocelyn Cornwell, founder and chief executive TRUSTEE ROLE Thank you for your interest in being a trustee at The Point of Care Foundation. Please find below an introduction to the organisation plus a description of the role and the type of person we are looking for. About us We began life as a Charitable Incorporated Organisation (CIO) 1 in April We grew out of a six year programme of work at The King s Fund ( ), researching and working with NHS teams to improve patients' experience of care and support staff. Our overarching aim is to make healthcare services more human for staff and for patients and their families across the UK and in Ireland. We do this by offering expertise, training and support in practical methods of work in healthcare organisations. The focus of all of the work is either patients experiences of care, or staff experience and well-being often it is both. About the role We are looking for new trustees to contribute to the strategic vision for an exciting and innovative organisation and who have the skills to support our current and future work. This is a timely opportunity to contribute to the effort to transform the culture of healthcare organisations in the UK and make them more staff-friendly and patient-centred. We need trustees who have proven success in their own area of work, with good strategic and leadership skills, an understanding of good charity governance and the willingness to act as a team player with other board members in the best interests of the Foundation. At this time, we are looking in particular for trustees who have specialist skills in one or more of these subject areas: social enterprise/business development/commercial; NHS board level leadership, medical or nursing director experience; experience as a patient/healthcare service user and /or carer; communications, marketing, media/pr. We are committed to developing a diverse board that represents the communities we serve, and encourage applicants from all backgrounds across the UK. The Board We currently have seven trustees: Sir Adrian Montague (chairman); Dr Sean Elyan; Sir Robert Francis; Ceinwen Giles; Rebecca Gray; Michael Nutt; and Hardev Virdee. Sir Adrian Montague is non-executive chairman of both insurance group Aviva plc and Manchester Airports Group; chairman of Cadent Gas Ltd; and a trustee of the Commonwealth War Graves Foundation. Sir Adrian has held senior positions connected with the implementation of the Government s policies to expand the use of private finance in the provision of public infrastructure, first as Chief Executive of the Treasury Taskforce, and then as Deputy Chairman of Partnerships UK plc. 1 _Constitution.pdf 2

3 Dr Sean Elyan is a consultant oncologist and medical director at Gloucestershire Hospitals NHS Foundation Trust. Sean is a founder and co-director of Medicine Unboxed. Sir Robert Francis QC is a barrister who has undertaken clinical negligence actions on behalf of claimants and defendants for over 30 years. He chaired both the independent inquiry (2010) and the Public Inquiry into Mid Staffordshire NHS Foundation Trust (2013). Ceinwen Giles is a Clore Social Leadership Fellow and patient advocate. She is a Director at Shine Cancer Support, a charity supporting adults in their 20s, 30s and 40s affected by cancer. In 2013, she was awarded a Winston Churchill Memorial Fellowship to research innovative forms of support for younger adults with cancer. Rebecca Gray is chief executive of Maudsley Charity. Prior to that she was director of communications and information at The King s Fund. She has also previously worked at Monitor (the independent regulator of NHS foundation trusts), the Healthcare Commission, the Commission for Health Improvement and the Alzheimer's Society. Michael Nutt is Global Head, Precious Metals Marketing and Strategy at Morgan Stanley. He is also a director at EOS, a company developing futures contracts for the London Metals Exchange. He has previously practised as an osteopath, with particular interest in the interaction between musculoskeletal health, stress and anxiety and the workplace. Hardev Virdee Hardev is Chief Finance Officer for Central North West London NHS Foundation Trust which provides healthcare services for people with a wide range of physical and mental health needs. Before that Hardev was the CFO of Wandsworth Clinical Commissioning Group where he was also the lead for public and patient engagement. 4 Trustee Recruitment About us The Point of Care Foundation (PoCF) is a charitable incorporated organisation, registered in 2013 and based in central London. ( Our objectives for public benefit, as set out in our constitution, are: The advancement of education of the public, in particular those working in health and social care, in methods and skills to improve patients and service users care experience To promote research for the public benefit in all areas of that subject To publish the useful results of such research with the object of improving health and social care outcomes for patients, service users and their families and carers Our programmes help to create open and compassionate organisational cultures and give individuals the tools and support to bring about radical change within their own workplaces. One of our main products is Schwartz Rounds (or Rounds ) which are a practical tool that healthcare providers can use to support staff and improve their organisational culture. Rounds are a forum for all staff, both clinical and non-clinical, to come together to talk about the emotional and social challenges of caring for patients. The aim is to offer a safe environment in which to share their stories and offer support to each other. The Point of Care Foundation is the sole licensed provider of training and support to organisations wishing to run Rounds in the UK. Originally developed by the Schwartz Center for Compassionate Healthcare in Boston USA, Rounds are running in 177 organisations in the UK and Ireland. We also offer training and mentoring in our Sweeney Programme. We train and mentor clinical teams to use effective methods for patient-centred quality improvement. Structure The Foundation has a board of (currently) seven trustees who volunteer their time to oversee the work of the Foundation. The trustees and our champion are listed on our website The small staff team of eight staff is led by Jocelyn Cornwell (founder and chief executive). Trustee role description and type of person sought Members of the board of trustees set the strategic direction and priorities of the charity. They have a legal duty to govern the charity so as to help it achieve its charitable objects and, in doing so, to act reasonably, prudently and selflessly. 4

5 We hold board meetings every three months in London (a morning or afternoon meeting - Monday to Friday). Trustees may also spend time attending events, reviewing papers, networking and responding to requests for support from staff. Trustees normally serve a minimum term of three years, which may be renewed. We aim to have a board of trustees with a good balance of skills, knowledge and expertise to help the Foundation to achieve its purpose. Role description The key contribution of trustees is to: Ensure the Foundation is meeting its charitable objects and complies with all legal, constitutional and regulatory requirements. Ensure the Foundation has a clear vision, mission and strategic direction. Be responsible for the performance of the Foundation, reviewing major risks and monitoring controls and systems. Act as guardians of the Foundation s assets and taking all due care over their security, deployment and proper application. Ensure the income of the Foundation is managed effectively and applied for the purposes set out in the governing document. Actively engage with the work of the Foundation, including attending regular meetings, reading relevant papers, supporting events, leading on key activities, networking and promoting the Foundation s work. Be prepared to act as a spokesperson and ambassador for the Foundation if asked to do so and to work within an agreed brief. Type of person sought Trustees should have the following knowledge, skills, experience and qualities: A commitment to PoCF s charitable objects, mission and priorities. Understanding of, or passion to learn about, best practices in employee engagement and support in patient/person-centred approaches within the delivery of health and social care. Experience of operating within a board/ committee structure in a charitable, public sector or commercial organisation. Leadership experience - ability to make and assess strategic decisions and plans. Numerate with ability to understand budgets and charity finances. Understanding of good governance in charities, regulation and risk Personal credibility, with ability to act as an organisation champion with a variety of relevant stakeholders. Ability to work effectively as part of a team and take decisions for the good of PoCF. Ability to commit the necessary time to be an effective member of the board of trustees. 5

6 To complement the current board, we are particularly looking for influential and talented individuals who have reached a level of significant success within their own field and who have one or more of the following specialist knowledge, skills and experience: Social enterprise/business development/commercial NHS - Senior leadership NHS - medical or nursing director Undergraduate or postgraduate education of health professionals Patient/healthcare service user or carer Communications, marketing, media, PR Chairing meetings Note: The role is unpaid but reasonable travel expenses can be reimbursed. Trustees are not normally allowed to gain financial benefit, directly or indirectly, from the work of the charity.
