INTRODUCTION The Board of Directors of the Association of Corporate Counsel Central Florida Chapter (ACC-Central Florida) is pleased to invite you to participate in their 2012 Preferred Sponsorship Program. ACC Central Florida is the preeminent bar association for in-house counsel in Central Florida, with members from leading corporations and private sector organizations throughout the Central Florida area including Lake, Seminole, Orange, Osceola, Volusia, Brevard and Indian River counties. ACC Central Florida is focused on meeting the professional needs of its growing membership, comprised of approximately 200 members, and is proud to be the premier provider of continuing legal education, networking opportunities, and community service projects for the in-house community. SPONSORSHIP GUIDELINES 1. Sponsorship. Any law firm or vendor may apply to the ACC-CFL to serve as a sponsor for ACC-CFL programs; provided that the sponsorship is approved by the Chapter Board and/or President. (a) Preferred Sponsorships. A limited number of these sponsorships shall be available to law firms or vendors on an annual basis. Information about sponsorship opportunity levels and fees can be found in the ACC-CFL Sponsorship Package. All sponsorship fees are due upon receipt of invoice. Each Preferred Sponsor shall be entitled to sponsor a program or social networking event for all ACC-CFL members at the sponsor s expense during that calendar year on a preferred basis. All program specifics will be worked out with the ACC- CFL Chapter Administrator or Chapter Program Coordinator. (b) CLE Program/Event Sponsors. Subject to availability of dates for programs, the ACC-CFL Chapter President and/or Board of Directors must approve individual program sponsors in advance. Unless otherwise agreed, such sponsors will be responsible for all expenses associated with a program. Payment, sponsorship fee (if applicable) and logistical arrangements for each sponsorship must be made with, and be approved by, the ACC-CFL Chapter Administrator or Chapter Program Coordinator. 2. Topic and Scheduling of the Program or Event. With exception of social networking events, all programs will be scheduled on the third Thursday of every month. The topic and scheduling of a program will be coordinated with the ACC-CFL Chapter Administrator or Chapter Program Coordinator. The topics, speakers, dates and locations of all Chapter Programs/Events shall be determined and/or changed at the sole discretion of ACC-CFL, however reasonable notice shall be given and ACC-CFL will always attempt to work with each sponsor on these issues should the need arise. When a sponsor has expert substantive knowledge of a program topic, the sponsor may act as a speaker or panelist on a program with the consent of the ACC-CFL Chapter Administrator or Chapter Program Coordinator. ACC-CFL s goal is to have at least one or two members from ACC-CFL as a speaker or panelist, unless otherwise agreed to in advance in exceptional circumstances. The topic(s) shall be addressed from the perspective of in-house counsel. The presentation should contain useful, substantive, and relevant information for the meeting attendees. The

speakers should give substantive handouts (printed, flash drive or CD) related to the topic. ACC-CFL Chapter Administrator or Chapter Program Coordinator should receive for review the written materials at least two weeks in advance of the Program or Event. Speakers shall commit to following the proposed agenda, including time limitations. The focus of the programs should be on practical applications rather than theory. The Program/Event Sponsor shall abide by the following time line in order to ensure a successful program: (a) Coordinate the date for the program with the ACC-CFL Chapter Administrator within three 3 weeks following sponsorship commitment; (b) Provide Program/Event topic to ACC-CFL Chapter Administrator as soon as possible after committing to sponsorship to ensure reservation of topic, but no later than eight 8 weeks prior to program date; and (c) Provide ACC-CFL approved final copy of electronic Invitation containing all relevant data (topic, date and time, location and logos) relating to the Program/Event to ACC- CFL Chapter Administrator six (6) weeks prior to Program/Event date 3. Facility and Food/Drinks. The Sponsor shall be responsible for both arranging an appropriate centrally located facility approved by ACC-CFL and making payments directly to the vendor. Each sponsored Program/Event should include a free breakfast/lunch and/or hors d oeuvres and drinks. The sponsor is responsible for arranging and paying the vendor directly for food and drinks. Any expenses incurred by the Sponsor shall be the Sponsor s sole responsibility. 4. Sponsor Announcements/Invitations. Programs/Events are co-sponsored with ACC- CFL, and the ACC-CFL logo shall be included in all invitations, announcements and advertising of the Program/Event. Placement and size of logos must be approved by the Chapter Administrator prior to distribution. The Sponsor will be mentioned in all ACC- CFL materials announcing the Program/Event, and the Sponsor s logo may be included in the meeting announcement if received sufficiently in advance by the ACC-CFL Chapter Administrator. The Sponsor may send the meeting announcement to the Sponsor s corporate in-house clients at the Sponsor s sole cost and expense. The Sponsor is required to prepare and issue at least one press release regarding the event, which content and distribution list must be pre-approved by the ACC-CFL. The Sponsor may also advertise the event at the Sponsor s sole cost and expense, provided that ACC- CFL first approves any advertisements. ACC-CFL shall retain ownership and control over its proprietary data, including its membership list and ACC-CFL logo. Sponsor shall not use the membership list except to the extent necessary to fulfill its agreement to publicize the Sponsor s Program/Event. Access to mailing labels, to be used for the sole purpose of publicizing a Program/Event, must be coordinated with the ACC-CFL Chapter Administrator.

5. RSVP and Fee. RSVPs and attendee lists must be coordinated with the ACC-CFL Chapter Administrator. 6. Sponsor Attendance. A reasonable number of representatives of the Sponsor may attend the Program/Event. The number of representatives that can attend a Program/Event is predetermined by level of sponsorship in the Preferred Sponsorship Package, unless otherwise coordinated with the ACC-CFL Chapter Administrator. 7. ACC-CFL Literature. At the program, the ACC-CFL Chapter may provide literature and other available materials about the ACC, including the Chapter Calendar and ACC applications. 8. Sponsor/Speaker Marketing. Sponsor shall not market any other firm/company event unrelated to the ACC in any advertising or materials provided to ACC-CFL Members. Sponsor s knowledge of the subject should sell itself, rather than aggressive promotion of the firm/company's services. Speakers shall not market their services or organizations in connection with the presentation, except as specifically agreed to in advance with ACC-CFL. The sponsor may place promotional materials and business cards on the registration table. The sponsor may announce a give-away or leave giveaway items at the tables at the sponsor s option. Any additional speaker or sponsor information shall be reviewed and approved by the ACC-CFL. 9. Evaluation Form and Continuing Legal Education (CLE). The Sponsor shall arrange for Florida Continuing Legal Education ( CLE ) Credit prior to the Program/Event, with an emphasis on.5 to 1 hours of Ethics credit. The ACC-CFL Chapter Administrator may request for the Sponsor to apply for and arrange for CLE credit for one additional state. The Sponsor shall also investigate CLE credit for other states. As a provider of CLE credit, the Sponsor should distribute and collect evaluation forms from all program attendees. Evaluation forms need to be reviewed and pre-approved by ACC-CFL Chapter Administrator. The sponsor shall arrange for credit in foreign jurisdictions at sponsor s own choosing, however, such efforts are very helpful to ACC-CFL members and will enhance the sponsor s perception amongst ACC-CFL membership. 10. Exceptions to Guidelines. The ACC-CFL Chapter President or Chapter Administrator may make exceptions to these Guidelines for good cause and in the interests of the Chapter.

DIAMOND SPONSORSHIP ($5,500.00 Only one (1) Sponsorship Available A September Event) Description: Opportunity to be recognized as the only sponsor for 2012 to present the SECOND ANNUAL ACC-CFL GC ROUNDTABLE. The GC Roundtable is a premium event featuring the sponsor as the moderator of a panel of ACC-Central Florida Chapter General Counsels discussing a variety of issues with a general session of ACC-CFL members including but not limited to: Career Development Department Management Ethics & GC Obligations Managing Expectations of Executive & Directors Keeping your GC Happy Providing Value This event will also include a closed session of GC s discussing a variety of topics, moderated by the sponsor (limited sponsor members may attend, and must be approved by the Chapter Administrator and/or Chapter President).
