3 PREAMBLE In the objective of contributing to the development of Leisure Karting in the world, SODIKART (SAS with a capital of 1,166,235 euros registered in the commercial register of Nantes (France) under number RCS and whose registered office is located in Les Hauts de Couëron BP COUERON (France)) has created and developed, with the participation of the SWS Partner Tracks (hereinafter called PT) and the SWS Private Organizers (hereinafter referred to as PO), the Sodi World Series hereinafter referred to as SWS). SODIKART is the exclusive owner of all rights, trademarks and logos attached to the Sodi World Series (SWS), which have been registered worldwide. SODIKART invites all PTs and POs to follow the recommendations established by the CIK-FIA concerning the practice of Leisure Karting in order to offer quality services and optimal safety to the Leisure Karting practice. The purpose of this SWS 2018 Memorandum of Agreement for Partner Tracks is to define the respective commitments and duties of SODIKART, as promoter of the SWS; and the SWS Partner Tracks and Private Organizers in their capacity as operational organizers of the SWS races for the period from January 1 st 2018 to December 31 st The acceptance of this SWS 2018 Memorandum of Agreement for Partner Tracks is made by signing the electronic sworn declaration on the SWS website. Signing of this declaration is a necessary condition for the integration of the PT / PO in the SWS 2018 championship. Confidential document Last Update

4 I. DEFINITIONS 1. Leisure Karting Leisure Karting is an organized activity which offers services for the practice of karting as a leisure (excluding in particular the competitions organized by and under the responsibility of the CIK-FIA or the ASN as defined by the document "Recommendation of the CIK -FIA for Leisure Karting, which can be consulted online on the CIK-FIA website) and which is carried out under the sole responsibility of the service provider and is managed by its staff or by personnel acting under its responsibility. Only the PT/PO, organizer of the karting activity subject to a result eligible to the SWS ranking, has the reponsibility to be in conformity with the local law rules in its geographical territoy and relating to the type of activity which is organized. Also, SODIKART invites each PT/PO to know and respect any legal law relating to the organization of a go-kart race. 2. SWS Partner Tracks (PT) & Private Organizers (PO) A PT is a gokart track featuring a karting fleet of the SODI RENTAL range. As such, the affiliation of a PT to the SWS is free. A PO is a service provider capable of organizing Leisure Karting events on one or several karting tracks, always with karting fleets of the SODI RENTAL range. As a counterpart to the services of which a PO benefits by integrating the SWS, each PO is liable for an annual integration fee. For the 2018 season, this SWS integration fee is set at No race organized by a PO will be eligible for SWS prior to the receipt of this integration free. Each request for integration of a PT / PO is studied carefully by SODIKART who reserves the right to integrate or refuse a PT / PO to the SWS at any time and without having to justify it. This selection is carried out in the sole interest of the Sodi World Series and with the aim of ensuring the quality, fairness and durability of this concept whose objective is to remain the world reference for leisure karting competition. Integration of a PT / PO is possible throughout the SWS season; without any modification of the integration rights (PO). 3. Sodi World Series The SWS is a program of Leisure Karting races organized by the PTs and POs, open to all racing enthusiasts (hereinafter referred to as drivers) registered within the SWS, of all nationalities and aged 7 years old and more. These races generate different rankings (by race, nation, international, as well as by age and sex). These rankings, as well as the organization of a SWS World Finals, organized under the responsibility of a PT chosen by SODIKART, form the core of the SWS concept. All Leisure Karting races integrated in the SWS ranking are compulsory and exclusively made on gokart of the SODI RENTAL range. These gokarts are specially designed for the practice of Leisure Karting. 4. SWS races A SWS race is a race organized by a PT / PO affiliated to the SWS and which complies with the organizational conditions described in this SWS 2018 Memorandum of Agreement for Partner Tracks. 5 the timetable, price, organizational scheme and the individual rules of each of the SWS races they organize, within the limits set by the SWS Regulation. SWS races are broken down into 3 separate categories defined in detail in the SWS: SPRINT CUP, ENDURANCE CUP and JUNIOR CUP. II. OBLIGATIONS OF SODIKART TOWARDS THE PT / PO 1. Concept In order to ensure the sustainability of the SWS concept, SODIKART is committed to: - Ensure the follow-up of the worldwide SWS activity - Ensure the SWS concept evolves regularly taking into account the experience gained in the previous years - Demonstrate a full availability towards the PT / PO and to exchange regularly with them in order to identify the points that could be improved, but always in the interest of the SWS 2. SWS Website SODIKART is committed to maintaining, developing and energizing the SWS website ( This website gathers all information and communications relating to the SWS (tracks, drivers, teams, races, rankings, news...). The SWS website is developed in French and English. Additional languages can be added to meet specific needs. A personal account is available to each PT / PO to enable them to administer the results and manage the registration of their races. Each PT / PO also benefits from the use of a database constituted by the registration of all SWS drivers affiliated to its own track (the affiliation to a track being mandatory for each driver). This database is accessible at any time by the PT / PO which can communicate directly with its drivers, via individual messaging or via ings. Individual messaging within the SWS website must be used with care, and it is stricly prohibited for partner tracks, private organizers or even SWS drivers to use this communication tool as a mass communication tool. Any abuse will be stricly sanctionned, up to the definitive exclusion from the SWS. The SWS website works like a social network, ultra qualitative, including the biggest database of leisure karting drivers in the world. The interactions between tracks and drivers make the SWS concept a very powerful marketing and communication tool for all PT / PO. 3. Promotion et communication SODIKART undertakes to ensure throughout the year that the SWS will be promoted to relevant actors (media, PT/PO, drivers, etc.) via means of communication that it judges to be appropriate: press releases, blogs, networks and so on. SODIKART undertakes to develop the promotion of the SWS by providing PT / PO a set of communication tools, free or not, specific to the SWS (logos, flyers, photos, videos, etc.). 6 4. SWS World Finals : «SODI WORLD FINALS» SODIKART undertakes to organize each year a World Final, named "SODI WORLD FINALS", organized on a track chosen by SODIKART. The access to this event is conditioned by the results of each SWS driver and team during the SWS season ("N-1" season for the "N" year s Finals), according to a qualification process fully described in the SWS Regulations. A participation fee will be required to register for this event in order to participate in the costs of organizing such an event. In fact, this fee has to be paid by the qualified SWS driver or SWS team, but SODIKART strongly recommends all PT / PO who would have the chance to have one or more qualified to take over all or part of this fee ; considering a significant return on investment in terms of communication for the track. III. OBLIGATIONS OF THE PARTNER TRACK / PRIVATE ORGANIZER 1. General obligation Any PT / PO is alleged to fully know and accept the 2018 SWS Regulations and SWS 2018 Memorandum of Agreement for Partner Tracks; and declares it by signing the electronical sworn statement at the beginning of the season or when joining the SWS championship (directly on the SWS website). The PT / PO is the operational organizer of a SWS race and as such guarantees its compliance with the SWS regulation during its events. The PT / PO must make every effort to enforce the SWS Regulations, which guarantees the sportiveness and legitimacy of the SWS championship throughout the world. a. Infrastructure & safety The PT / PO are solely responsible for the safety of their events and are responsible for enforcing the regulations in force locally. In case of an accident, the PT/PO organizing the race recognize that the SWS / SODIKART does not incur any liability concerning the safety of participants, drivers, staff, accompagniers and public. They are the only guarantors of the smooth running of the SWS races that they organize and in particular of unconditional respect for sporting fairness. Before authorizing the drivers to take place in the gokarts, the PT / PO undertake to carry out a briefing (equipment, safety, sports rules...). It is the responsibility of PT / PO to inform drivers about local safety requirements and to take the appropriate means to have them respected. The PT / PO undertake to provide SWS drivers at all times : a reception area, a track and equipments in a perfect state of cleanliness and in excellent working order; capable of conveying a qualitative and rewarding image of the SWS championship, of leisure karting and of karting in general. b. Equipement The PT / PO undertake to provide the SWS drivers with equipment in perfect condition of quality and scrupulously respecting the safety standards in force in the country concerned. Drivers may also use their own equipment to the extent that it meets the safety standards in the country concerned. Confidential document Last Update

7 The PT / PO are responsible for informing the drivers about these standards and for the drivers to respect them. c. Drivers complaints and penalties In the event that a SWS driver (or team) was to be sanctioned or penalized on a SWS race (sporting problem, behavior, etc.), only the PT / PO - organizer of that race will be responsible for the decisions to be taken. The penalties are estimated and validated by the sole PT / PO during each race. Drivers and teams are responsible for actions and omissions of themselves and their escorts. d. Communication and promotion of the SWS In order to participate in the global promotion and development of the SWS, each SWS Partner Track or SWS Private Organizer undertakes to make every effort to promote the Sodi World Series. Experience has shown that the most successful PT / PO in promoting SWS to their clientele were also those who benefited most from the SWS concept. Online communication In the event that the PT / PO has a website, the PT / PO undertakes to highlight on the homepage at least one SWS logo, accompanied by a link to the website This commitment also extends to any social network accounts, through which each PT / PO also commits itself to always communicate in the interests of the SWS. Description of the SWS concept, SWS racing calendar, race reports, photos and videos are all elements that can be used to promote the SWS. All negative comments, posts or publications should be avoided on social networks or on any public broadcasting support. They will however be welcome in a private exchange with SODIKART, in a constructive approach to improve the SWS concept. Local marketing applications For all its marketing applications (mailing, ing, posting, press, results sheet, etc.), each PT / PO undertakes to include on all documents issued the SWS logo in accordance with the graphic charter provided by SODIKART. Each PT / PO is also strongly encouraged by SODIKART to promote SWS physically via merchandising tools (banners, flags, goodies, etc.). Indeed, the regular local involvement of the PT / PO in promoting the SWS towards its own clientele is a decisive factor in the success of the SWS concept (merchandising, promotional operations, rewards during races, quality events, etc.). Each PT / PO can contact SODIKART at any time to consult the various possibilities in terms of promotion of the SWS. e. Image rights All PT / PO, and all SWS drivers, irrevocably undertake to make available and authorize the SODIKART Group and the Sodi World Series to use without constraint any images and videos relating to the Sodi World Series events; and without any financial or material counterparty being attributed to anybody and without any time limit. 8 This authorization is valid for all purposes, including commercial and advertising, by all means and methods of exploitation of the images, known or unknown to date, and on any support (including photo exhibitions, posters, leaflets, catalogs, totems, press kits, advertisements and print and online articles, website, video broadcast, etc.) in any format, in whole or in part, for the promotion of the Sodi World Series, the PT / PO in question or leisure karting in general. f. Privacy policy The PT / PO expressly undertakes, including at the expiry of this document, not to disclose directly or indirectly to persons outside the SWS, know-how and any other information (protocol, exchanges of s, etc.), method, process or technique which have been or will be known to him by virtue of his membership in the SWS. This clause also applies to employees of the PT / PO and to any person acting under its responsibility. 2. Obligations relating to the races a. Compliance with the SWS values & with the SWS Regulation It is understood that within the framework of the SWS, the PT / PO must respect and ensure the values of friendliness, loyalty and sportsmanship on any SWS event. The SWS promoter reserves the right to apply any penalty it deems appropriate to the PT / PO which does not respect these values, this penalty being able to go as far as the definitive exclusion of the PT / PO from the SWS. This duty naturally extends to the SWS drivers present on each event organized by the PT / PO. In this context, the PT / PO is responsible for the behavior of the drivers and will be responsible for refusing or excluding any participant whose attitude could be detrimental to the spirit and image of the SWS. This duty to respect values and not to harm the spirit and image of SWS extends to the behavior of PT / PO and SWS drivers on the Internet and on different social networks. The PT / PO organizer of the race undertakes to ensure that each SWS driver participating in a race is deemed to have taken acknowledgement and to submit himself without any reserve to the SWS Regulations. b. SWS categories & race formats There are 3 categories of SWS races: JUNIOR CUP, SPRINT CUP and ENDURANCE CUP. 9 *: in the year of his 15 th birthday, a driver can choose to ride in JUNIOR CUP and/or SPRINT CUP throughout the whole year, and/or ENDURANCE CUP. **: a tolerance is applied for tracks organizing races on electric gokart models: 8 minutes for the SPRINT CUP races. The organization and price of the races are determined solely by the PT / PO. The racing format must comply with the restrictions mentioned above for each category. Within the limit of these restrictions, the PT / PO is free to choose a racing format which it considers the most suitable. An appendix specifies the authorized or prohibited racing formats in SWS. The PT / PO is free to choose the model of gokart within the SODI RENTAL range to be used, which must take into account and respect all the safety standards in force in the country or territory where the race will take place. SODIKART strongly encourages the PT / PO to propose - as far as possible - racing formats, equipment and an organization as a whole with the highest possible level of quality, ensuring in particular total equity between the participants (equilibrated gokarts, homogeneous fleet, racing by weight, etc.). The perception of sporting equality by all participants is essential to the success of a karting event ; and will increase the loyalty of SWS drivers (customers of the PT / PO). c. Races & calendar A SWS season begins on January 1 st and ends on December 31 st. - A PT / PO agrees to organize a minimum of 9 SWS races during the season (all categories combined) - The maximum number of organizable SWS races for the full season is not limited. However, the following daily limits must be observed: o A PT / PO can organize only 5 SWS races in the same day, all categories combined o A PT / PO can organize only 4 SPRINT CUP and / or JUNIOR CUP races on the same day o A PT / PO can organize only 1 ENDURANCE CUP race on the same day The PT / PO undertakes to register - via its dedicated personal space on the website each and every races that will count for the SWS championship. For each race, the date must be published on the SWS website no later than 3 days before the said race. Each SWS race must be clearly descriptive and the timing must be clearly written and explained (hours, race format, etc.) on the personal space of the PT / PO organizer in order to optimize the information available to the participants and to ensure a total transparency of each SWS race. The SWS promoter advises each PT / PO to plan its upstream SWS planning at least monthly ; to ensure better visibility to its SWS races with drivers on the SWS website. The SWS program is open to all, and the SWS promoter will ensure that no PT/PO is applying any unjustified discrimination against a driver willing to participate to any SWS race. d. Drivers registration In order to participate in a SWS race and to be included in the SWS rankings, a driver must have registered beforehand as a SWS driver. The SWS registration is validated by obtaining a Driver Identification Number (DIN) via the SWS website. Confidential document Last Update

10 This identifier allows the driver to access a personal space, from which he can pre-register for the SWS races of his choice. Pre-registration for SWS races (before the start of the race) is compulsory for any driver / team. PT / PO are therefore strongly advised to have an internet connection on site to allow all drivers to create a prerace profile and / or pre-register. e. Results upload & validation The result of a SWS race is the final classification of the race. A SWS race may be valid even if non-sws drivers participate. In this case, non-sws drivers / teams will simply have to be removed from the ranking. The minimum number of SWS participants required to validate a race applies in all cases. If the minimum number of SWS participants is not reached, the race can not be valid, and must therefore be canceled. Any artificial addition of (real or fake) SWS driver(s) to reach the minimum number of SWS participants (creation of a fake driver, addition of a driver who did not take part to the race, etc.) will be considered by the SWS promoter as a proven case of cheating. In this case, in addition to the immediate cancellation of the race, the promoter reserves the right to apply any sanction deemed useful, punishable up to the final exclusion of the relevant PT / PO from the SWS. The participation of a member of the PT / PO staff in a SWS race, if not stricly forbidden, is strongly discouraged because it is likely to disrupt the perception of sporting fairness of the event. The experience has proven this type of behaviour to be detrimental to the image of the PT / PO and of the SWS. The transmission of the results by the PT / PO is a fundamental element of the SWS concept. Each PT / PO undertakes to upload for each SWS race - within 10 days - the results of the race directly on the SWS website. The results are uploaded directly via the PT / PO personal space on the SWS website. The upload of a race result results in the daily and automatic updating of all SWS rankings on the SWS website. From the date of uploading the result, the PT / PO has a period of 10 days to modify this result. Beyond this period, the result will not be modifiable and will be considered as definitive. When uploading a result, each PT / PO must IMPERATIVELY be able to transmit to the SWS promoter a printing of the timing system used for the race within 48 hours. This document must be clearly legible in order to check the validity of any SWS race. It must imperatively include the following useful information for the validation of the race: - Position of the driver - Number of the gokart - Driver's name and first name - Number of laps - Best lap time of the driver - Total driving time The SWS organization reserves the right to request from any PT / PO this document for any SWS race. If the PT / PO is unable to provide this document within the requested period of time, the result of the SWS race will be considered false and thus deleted. In case of receipt of a document not allowing to validate the result of a race indefectible, the result will also be considered false, and thus deleted. Confidential document Last Update

11 Failure to comply with this clause constitutes a serious violation of the relationship of trust between the SWS promoter and the PT / PO. Consequently, the SWS promoter reserves the right to apply any penalty it deems necessary in respect of the said PT / PO, which may range from the simple deletion of the result and up to the definitive exclusion of PT / PO from the SWS program. TERM & TERMINATION This 2018 SWS Regulations and SWS 2018 Memorandum of Agreement for Partner Tracks becomes effective upon acceptance (electronical signature of the sworn declaration online) by the PT / PO and ends on 31 st December SODIKART reserves the right to suspend at any time the PT / PO in the event of non-compliance with this Protocol and / or the SWS Regulation, without justification. This suspension will have an immediate effect. A PT / PO may terminate this Protocol during the season without prior notice, being specified that in this case all SWS drivers affiliated to this PT / PO will immediately lose all points acquired during the season. In case of inactivity of more than 200 days, a PT / PO will be quarantined and will no longer be able to organize SWS races in the current year. V. APPLICABLE LAW AND NOTIFICATIONS In the event of a major disagreement between SODIKART and a PT / PO in the interpretation and application of this Protocol and for any disputes relating to its execution, the Commercial Court of Nantes (France) will be the only competent jurisdiction, event if any contrary indication are mentionnend on the PT / PO commercial documents, including in the case of a plurality of defendants. The present Protocol is subject to French law. Any notice, communication or demand will be made in French by registered letter with acknowledgment of receipt to the addresses indicated at the beginning of this document or to any other address previously communicated by the party concerned. 13 APPENDIX SWS RACE FORMATS The aim of the SWS organization is to encourage the PT / PO who do their utmost and specific efforts to organize beautiful SWS events with many drivers. In the interest of all, certain rules are necessary to set the limits in the organization of the races in order to ensure that any SWS driver in the whole world has equal chances of being able to reach the top of the ranking, regardless of the track where he/she is racing. DEFINITION OF A SWS RACE A SWS race defines an event in which all drivers, integrated into the SWS result of the event, have competed against each and every other driver on the same event. The event must comply with the conditions laid down in the SWS Regulation for both the minimum number of participants and the minimum racing time of the race. Under no circumstances may an addition of unrelated race results result in a SWS overall result. In other words, a SWS race can be formatted in a simple format (Free Practice, Qualification and Race) or a more complex race format provided all drivers have the opportunity to compete in absolute fairness. In the case of an event with different heats that quality drivers to finals, only the finals may be eligible as SWS results, since the heats are then considered as nothing else than qualifications for the finals. POSSIBLE RACE FORMATS These formats are given as suggestions and examples and are by no means exhaustive. The PT / PO are free to create the race format best suited to their constraints and to their clientele, insofar as this format falls within the framework fixed by the SWS regulation. In case of doubt, please contact the SWS organization to validate the format of a race before organizing it. FORMAT 1 Simple race 12 drivers on the event. The track owns 15 gokarts. Possible format: - 10 minutes of free practice - 10 minutes of timed session (qualifying) - 15 minutes of race Only the result of the race will be considered a SWS result. This will be a ranking of 12 drivers in the order of arrival of the race. Confidential document Last Update

14 FORMAT 2 Simple races 12 drivers on the event. The track owns 15 gokarts. Possible format: - 5 minutes free practice - 5 minutes timed session (qualifying) - 10 minutes of race 1-5 minutes timed session (qualifying) - 10 minutes of race 2-5 minutes timed session (qualifying) - 10 minutes of race 3 In this format, the track organizes 3separate SWS races (out of free practice & qualifying) and can thus upload 3 SWS results. FORMAT 3 Simple race with heats & semi-finals or general ranking 20 drivers on the event. The track owns 25 gokarts. Possible format A: - 10 minutes free practice - 10 minutes timed session (to define the grid of the semifinal) - 10 minutes of semifinal (to define the grid of the final) - 10 minutes of final In this format, the qualifying session and the semifinal are qualifying races for the final race; and thus cannot be considered a SWS race result. Only the result of the Final race is considered the SWS result. Possible format B: - 10 minutes free practice - 10 minutes timed session (to define the grid of the 3 races) - 10 minutes race 1 (which gives a ranking by points with a 1 coefficient) - 10 minutes race 2 (which gives a ranking by points with a 1.25 coefficient) - 10 minutes race 3 (which gives a ranking by points with a 1.5 coefficient) - Final raking : In this format, the track must consider the whole event as a unique ranking, at the end of all races. It should then be one and only one SWS result for this event, after addition of points won by all drivers on each 3 races. In this case, it is not possible to register the 3 races as a unique SWS result. Possible format C: - 10 minutes free practice - 10 minutes timed session (to define the grid of the 3 races) - 10 minutes race 1-10 minutes race 2 Confidential document Last Update

15 - 10 minutes race 3 In this format, the track can register 3 SWS races, one for each race. Nevertheless, this format is not advised, as there is no separate qualification for each separate race. A separate qualification per race is to be preferred as it gives more sporting equity for each driver to have a better chance to win each race. FORMAT 4 Race with several groups 25 drivers on the event. The track owns 15 gokarts. He can choose that all drivers compete with each other in a unique event, or organize 2 separate SWS events. Possible format A (2 SWS results): - 2 groups are defined: Group A with 13 drivers & Group B with 12 drivers (process to be defined by the track: by age, by weight, drawing of lots, etc ) - (5 minutes free practice Group A) - (5 minutes free practice Group B) - 8 minutes timed session Group A - 8 minutes timed session Group B - 10 minutes Final A with 13 drivers of Group A - 10 minutes Final B with 12 drivers of Group B The track uploads 2 separate SWS race results: Final A (13 drivers) and Final B (12 drivers). The track cannot upload a result with 25 drivers, because the drivers have not raced in the same race and thus they did not participate to the same SWS event. Possible format B (1 SWS result): - 2 groups are defined: Group A with 13 drivers & Group B with 12 drivers - (5 minutes free practice Group A) - (5 minutes free practice Group B) - 5 minutes timed session + 10 minutes qualifying heat - Group A - 5 minutes timed session + 10 minutes qualifying heat Group B Qualifying heats are races which define the starting grid of the Finals. The 7 best of Heat A and the 6 best of Heat B will get to Final 1. The 6 last of Heat A and the 6 last of Heat N will get to Final minutes Final 1-10 minutes Final 2 In this format, qualifying heats cannot be considered as SWS races, and thus cannot be uploaded as a SWS result, because they are only here to qualify for the final races.
