Komen for the Cure and the Baton Rouge Affiliate Nancy G. Brinker promised her dying sister, Susan G. Komen, she would do everything in her power to end breast cancer forever. In 1982, that promise became Susan G. Komen for the Cure and launched the global breast cancer movement. The Baton Rouge Affiliate of Komen for the Cure is working to better the lives of those facing breast cancer in the local community joining more than 1 million breast cancer survivors and activists around the globe as part of the world s largest and most progressive grassroots network fighting breast cancer. The Baton Rouge Affiliate has invested $2.8 million in community breast health programs for local screening, treatment, and education in our ten-parish service area. Up to 75 percent of net proceeds generated by the Affiliate stay in the Greater Baton Rouge area. The remaining income goes to the national Susan G. Why Join Us In The Fight Against Breast Cancer? BECAUSE THE STAKES ARE ENORMOUS... Know the Facts Louisiana has one of the highest breast cancer death rates in the nation. One in eight women in the United States will develop invasive breast cancer over the course of her lifetime. An estimated 226,870 new cases of invasive breast cancer are expected to occur among women in the U.S. during 2012. About 80-90% of breast cancers in women without symptom in the U.S. will be detected by mammography Women are not Alone Approximately 2,190 new cases of invasive breast cancer will be diagnosed in men this year. Keep on Fighting There are more than 2.6 million breast cancer survivors in the U.S. The five-year relative survival rate for women with localized breast cancer (cancer that has not spread to the lymph nodes or other locations outside the breast) is 98%. 75% of all net proceeds raised stay in our community. The remaining 25% supports the research efforts of Susan G. Komen for the Cure. Use of Funds The Ascension Pink Ribbon Scramble supports our Grants Program which funds local screening, treatment, education, and research programs. 2012 Komen Baton Rouge Ascension Pink Ribbon Scramble Sponsorship Agreement This agreement ( Agreement ) is entered into this day of, 2012 ( Effective Date ) between the Komen Baton Rouge Affiliate of the Susan G. Komen Breast Cancer Foundation, Inc. D.B.A. Susan G. Komen for the Cure ( Affiliate ) and ( Sponsor ) to set forth the terms and conditions upon which Sponsor agrees to be a local sponsor of the 2012 Ascension Pink Ribbon Scramble. 1. General. The Tournament is part of the Komen Houston / Montgomery County Outreach effort. The Tournament is conducted by the Affiliate on behalf of and pursuant to an agreement with the Susan G. Komen for the Cure ( Komen ) to promote and fulfill its promise to end breast cancer forever. The Affiliate is a non-profit organization exempt from federal tax pursuant to Internal Revenue Code section 501(c)(3), federal tax identification number 76-0360372. 2. Term. This Agreement will begin on the Effective Date set forth above and end on July 19, 2012, the scheduled date for completion of the Tournament ( Term ). 3. Event Date. Affiliate will use its best efforts to conduct the Tournament on July.19, 2012. 4. Komen Licensed Marks. Affiliate is a licensee of Komen and hereby grants Sponsor a limited, non-exclusive sub-license to use the Baton Rouge Affiliate of the Susan G. Komen for the Cure name and accompanying logo service marks ( Affiliate Licensed Marks ) solely to promote the Tournament and Tournament-related events during the Term of this Agreement. Sponsor shall not sublicense or transfer the use of the Affiliate Licensed Marks to any person or entity without the prior written consent of Affiliate. Sponsor will present to Affiliate, for its prior approval, any item or material that uses or refers to the Affiliate Licensed Marks. All advertising and promotional materials should refer to Sponsor s relationship to the Tournament in the following form: Local Sponsor of the Ascension Pink Ribbon Scramble. Sponsor shall not use the Affiliate Licensed Marks in advertisements or promotions that contain a reference to any entity which is not a local Tournament sponsor. 5. Sponsor Licensed Marks. Sponsor grants Affiliate a limited, non-exclusive license to use Sponsor s name, logo, service marks and trademarks ( Sponsor Licensed Marks ) solely for including Sponsor in listings and descriptions of Race sponsors during the Term of this Agreement. Affiliate shall not sublicense or transfer the use of the Sponsor Licensed Marks to any person or entity without the prior written consent of Sponsor. 6. Sponsorship Benefits/Payment. Sponsor shall receive the sponsorship benefits set forth on Attachment A to this Agreement. Sponsor shall pay its sponsorship fee as it appears on page 1 of this contract on or before April 30, 2011 and failure to do so shall result in a forfeiture of Sponsor s sponsorship rights. Affiliate may require Sponsor to provide additional documentation to support the value of in-kind donations prior to accepting such donations as credit toward Sponsor s sponsorship fee. To comply with IRS requirements, we wish to advise you that the tax-deductible amount of your contribution for Federal Income tax purposes is limited to the excess of the amount of money plus the value of any non-cash property contributed by you over the value of the goods and services provided by the Baton Rouge Affiliate. The Affiliate will provide you with the total value of any goods and services provided as part of your sponsorship. 7. Event Cancellation. Neither Sponsor nor Affiliate shall be responsible for damages that result from delays or postponements of the Event due to circumstances beyond their reasonable control. In the event that the Event does not take place, Sponsor s sponsorship fee as set forth above shall be treated as a donation to the Affiliate and shall not be refunded. 8. Insurance. [If sponsor is providing, assembling or erecting temporary structures]: (a) Each party shall maintain, during the Term of this Agreement, insurance in the amount of One Million Dollars per occurrence to cover liability for bodily injury, property damage and death arising out of the party s activities in connection with the activities which are the subject of this Agreement. Sponsor agrees to name the Susan G. Komen For the Cure, Inc. and the Baton Rouge Affiliate of the Susan G. Komen For the Cure, Inc. as Additional Insured on its comprehensive general liability insurance policy, solely with respect to the events and activities which are the subject of this Agreement. Each party shall furnish a certificate of insurance to the other party showing that such insurance policies are in place within thirty (30) days after the Effective Date of this Agreement. [If sponsor is not providing, assembling or erecting temporary structures]: (a) Each party shall maintain, during the Term of this Agreement, insurance in an amount sufficient to cover liability for bodily injury, property damage and death arising out of the party s activities in connection with the activities which are the subject of this Agreement. Each party shall furnish a certificate of insurance to the other party showing that such insurance policies are in place within thirty (30) days after the Effective Date of this Agreement. 9. Relationship/Entire Agreement. The parties to this Agreement have no legal relationship other than as contracting parties to this Agreement. This Agreement represents the entire agreement between the parties and supersedes any prior understandings or agreements.

10. Indemnity. Each party agrees to indemnify and hold the other harmless from and against any and all expenses, including reasonable attorneys fees, that the other party may incur by reason of any claim arising out of the indemnifying party s gross negligence, intentional misconduct performance or failure to perform pursuant to this Agreement, or any service or product sold or provided by the indemnifying party in connection with the Tournament. All individuals provided by or associated with Sponsor who perform services at the Tournament event shall perform such services at the direction of, under the supervision and control of, and for the benefit of Sponsor. Such individuals shall not perform such services on behalf of Foundation or Affiliate and shall not be agents or representatives of Foundation or Affiliate. Sponsor shall be responsible, as between Sponsor and Foundation and Affiliate, for any injuries or damages caused by or to said individuals. 11. Governing Law. This Agreement shall be governed by the laws of the State of Louisiana. 2012 Suzy s Garden Pay tribute to a survivor or honor the memory of those who have lost their battle The Ascension Pink Ribbon Scramble Celebration/Tribute Flag dedication What are Celebration/Tribute Flags? Suzy s Garden is a special area where anyone can dedicate a pink flag either in celebration of a breast cancer survivor or as a tribute in memory of someone who lost their battle. Suzy s Garden donations are $25. The 18 x 12 flags will be personalized with your message by local children and on display in a garden area at the scramble. What an impact to see how many people are affected by breast cancer. Flags will be available to take home after the scramble. Those not taken will be held at the Baton Rouge Susan G.
