Welcome and Introductions Andrea went over the guidelines. Valerie offered to be timekeeper for the two minute speaking time. Remember to timely call for question and timely motions. Andrea thanked everyone for coming. Not aware of anyone planning to call in. Introductions were made. Approval of the Agenda Based on their review of finances on Friday evening, Bill and Andrea recommended modifying the Agenda to move the segment on Fundraising from Sunday morning to after Draft Budget item on Saturday and postpone Committee Report to after lunch on Saturday. Bill made a motion to approve the agenda as amended. Second was made. Motion passed and agenda approved as amended. Review and Approve Board Minutes Ed made a motion to approve the minutes. Second was made. Motion passed.

2 President's Perspective Andrea Hazlitt This is a time to focus on understanding where we are now and look to the future. We are facing financial challenges. We have a lot of experience around the table. She appreciates the board members, and their willingness to help. Approve Appointments No appointments to approve. Executive Director Search Next Steps Ed Dickey Ed announced as head of the ED Search Committee that it is retiring now that the Board has hired a new Executive Director, Chris Scroggin. Ed gave Chris the floor. He shared about his past experience and his history, and shared how he came to find NAMI. Financial Report Bill Matthews Bill Matthews presented the financial report. What we have in the bank are residual savings and the restricted funds from grant makers. We use about $6,000 a month in overhead expenses. It costs about $30,000 a month to fund the entire office operations each month. We have somewhere around $110,000 and $120,000 in unrestricted funds. Short-term analysis: by June we need to have $200,000 raised. This will allow us to do some of the projects that will add to our income. Draft Budget Finance Committee A projection was reviewed. Fundraising & Development Not to de-emphasize our long-term goals, but we need to get some short-term funds in quickly, then focus promptly on our long-term funding goals. Proposed goal of raising $200,000 by June Chris will help us develop five-minute elevator speech. Intern may help research foundations (eg, web search by local areas, GuideStar for details) ACTION ITEM: Andrea will help provide Chris with facts and numbers for a onepage talking point document. ACTION ITEM: All board members will send Chris the story of how NAMI has impacted their life by Wednesday, January 22nd.

It is critical that we develop an action plan. Flipchart: What does NAMI Texas do? what is valuable, unique 1. Legislative impact; Capitol Day; NAMI Smarts advocacy training (TCDD grant) 2. Central referral service/phone number (eg refer callers to local affiliate 3. Assist affiliates with 360 NAMI membership system 4. Assist in training state trainers ; responsible for training teachers for all NAMI courses; updated education materials must come through state organization 5. SoE support 6. Annual conference 7. Networking to NAMI and other state organizations Lunch Valerie made a motion that we convene for lunch at 11:40 p.m. A second was made. Motion passed. During lunch, Bill Matthews showed a DVD lecture from the Origins of the Human Mind by Stephen Hinshaw. Reconvened at 1 p.m. Committee reports, plans ORF Maurice Dutton Andrea gave the floor to Maurice Dutton. ORF focuses on the strength of the families as their military members reintegrate. It is different than the program offered by NAMI due to come out this coming March since NAMI class is only for family and not for veterans. We have about $11,000 in restricted funds for ORF. We have 2 people trained as Master Trainers. If we want to keep this program, we will have to do some fundraising. An option might be gifting it to NAMI at the national level, but we would want to retain the license for Texas. Partner with LMHAs, local VAs? The ORF committee recommends that ORF be incorporated into the NAMI Texas regular education programs (ie, the Education Director to coordinate training through the affiliates similar to other NAMI classes), focusing initially in the locations where ORF training classes were held in 2013: Houston, Dallas, San Antonio, and Austin.

4 Called to question. Motion passed. ACTION ITEM: Requested estimate of cost to add ORF program from Chris and Patti. Conference Planning Ramona Gray Andrea gave the floor to Ramona Gray. Through a straw poll, the conference theme was decided as: Planting the Seeds of Advocacy and Research. Now that we have a theme, the subcommittee can start to search for a keynote speaker, and start reviewing submissions for the workshops. Ed Dickey was appointed to chair the program sub-committee. PPC Sherry Cusumano for Sharon DeBlanc Andrea gave Sherry Cusumano the floor to report for the PPC. In the last year, Sharon and Greg were contacted by organizations, journalists, and legislative staffers to find out how NAMI Texas feels about the legislation. Greg also visited selected affiliates. If we want to have influence and visibility, we need to continue with this effort. NAMI Texas could have a major impact on upcoming legislation. We need to train all of our members to speak up, make connections with elected officials, and if you are a member of the public policy committee, you may get permission to speak for NAMI Texas. Without that, you must speak only as an individual. We have a year to teach members how to be an active voter and NAMI member. Rose offered to help in any way as someone who has a mental illness, and as someone who is a family member and caretaker. She understands both sides of the Assisted Outpatient Treatment discussion. ACTION ITEM: Who will educate members on how to participate as an individual distinct from as a representative of NAMI Texas? Part of NAMI Smarts advocacy training (TCDD grant, Maurice Whitfield)? 5 The indicators of success = high impact in meeting our mission (headlines in 2024) included: 1. High degree of name and mission recognition by public results in Membership increased1 to 2 million Ending the Silence County by County More money raised than well-known large campaigns (Susan B. Kommen, MS 150, etc) 2. High degree of respect as the go to organization for authoritative information on questions related to mental illness Recognition as the state s voice on mental illness Legislature looks to NAMI Texas to transform mental health NAMI Texas leads state from 51 st to 1 st in mental health transformation We as a group then evaluated the impact of our program activities based on these indicators of success. ACTION ITEM: In response to a question of whether we wanted a Board Education Committee in addition the Education staff position, Rose volunteered to chair the Education Committee. Generate Map/ Grid Summarizing Relative Cost and Impact Purpose was to prioritize most important activities, programs, and services by assessing their relative impact (High, Medium, Low) vs cost effectiveness (value delivered relative to the money invested). Results of the group vote on impact are included in the notes of the closed session. Cost effectiveness information was not available. Group Activity: Develop Action Plans for Increasing Cost Effectiveness and Impact of Selected Programs, Activities Rose moved that we enter into closed session at 4:55 p.m. due to personnel implications in the discussion and planning process. Executive Director, Chris Scroggin, was invited to stay. A second was made. Motion passed. Valerie moved that we that adjourn the closed session at 5:57 p.m. A second was made. Motion passed. 6 January 19, 2014 Sunday Session The board reconvened at 8:35 a.m. Affiliate Outreach SoE Ed Dickey and Stacy Hollingsworth, AOC Ed opened the meeting, and gave the floor to Stacy Hollingsworth. Stacy presented on the potential affiliate models. Any given year, we have between affiliates. Approximately 2/3 of these affiliates have a 501(c)3. NAMI Texas will have to choose to support at least one model. There are no limit to the number of models we can support. We also have the option of splitting some models and adopting just some of those parts. Maurice moves that NAMI Texas offers the following models right now: Model A and Model B Part II. We offer Model B Part I as our budget and infrastructure will allow. A second was made. One abstention is noted. Motion fails. Ed moved that the board adopt Model A as an affiliate model for immediate implementation. A second was made. Motion passed. Ed moved that we adopt Model B Part I as an affiliate model for immediate implementation. A second was made. One abstention is noted. Motion passed. Ed moved that NAMI Texas adopts Model B Part II. A second is made. Motion passed. Andrea stated that the vote is very close, so we need to closely monitor this moving forward. Alternative Option I has been denied by NAMI, and Alternative Option II is already considered a process in NAMI Texas policy and procedure. Stacy reported on progress in Affiliate Operations & Standards of Excellence. Overflow Topics: Andrea expressed thanks for the prompt attention to the thank you notes written by Directors to our major donors. John Tatum commented that we should make it a board policy to keep track of all hours worked and services provided on behalf of NAMI. The details were not firmed up last board meeting.

7 ACTION ITEM: Andrea will provide a tool for board members to keep track of the hours and services provided. Lunch During lunch, Bill Matthews showed a second DVD lecture from the Origins of the Human Mind by Stephen Hinshaw. Then Chris led us in a short fundraising discussion and exercise. He went over the Action Items for Short-Term Funding, including ACTION ITEM: a request that people report to Chris the results of their one-on-one contacts by February 2. Chris offered to accompany anyone who would like his help. Chris will investigate training opportunities for the Board. ACTION ITEM: Hannah will create a Google Doc to help people agree and understand the ACTION ITEMS and when they are expected to be completed. They can also sign up to complete items that haven't been assigned. ADJOURN Ed made a motion to adjourn the meeting at 2:02 p.m. A second was made. Motion passed. Start with Core mission and projects which are key to our mission, then look for sources of money which fund the types of things we want to do.
