1 ANNUAL GENERAL MEETING MINUTES JUNE 15, 2015 Hélène Morin-Chain acted as Master of Ceremonies for this year's Annual General Meeting and welcomed everyone to the meeting. Jennifer Valenti, Executive Director introduced Keith Dee, Community Living Ontario and Kimberley Carson, National Director of Development and Communications at Canadian Association for Community Living. She also gave a special welcome to Thérèse Saya, founding member, Vic and Joanne McClenaghan, Marilyn and Roger Betz and Norma Butkevich, long-time supporters of the agency. INTRODUCTION OF LAST YEAR S BOARD OF DIRECTORS Hélène Morin-Chain, Chair Candace Barry Robert Fetterly Robyn Grigg Bonnie Roynon Stella Curtis Shawn Fitzsimmons Jeff Lefebvre (not present) Jo-Anne Welton OPENING SPEECH BY CHAIR Hélène Morin-Chain thanked the Board members who have given and continue to give so generously of their time and ideas to this Association. This includes the staff of Community Living North Bay whose unrelenting commitment to the well-being of the people we support is recognized by many people inside and outside of our Community. The Staff devote many hours outside of their official duties; they are always ready to help out not only by attending and hosting functions but also by helping with fundraising activities. Thank you, one and all. The Chair continued with the highlights and guest speakers that came to speak to the board during our monthly meetings over the last year. - Self-advocates on how AKtion club, Best Buddies and Special Olympics improve their lives - Police Services Department working closely with the association and has a protocol that helps protect the people we support - Jeannette Bélanger, Ministry s Program Supervisor spoke on how Developmental Services is transforming across the province - Camille Bigras spoke about her role as the Health Care Facilitator for the Community Networks of Specialized Care

2 Annual General Meeting Minutes Page 2 of 7 - Board retreat to review, clarify and eliminate any redundancy in our Ends and Executive Limitations. - Regional meeting in Haliburton with seven other Community Living Associations. In closing, the Chair, thanked Joanne Roy for all her work helping the board, and mentioned the good work that is being done by our Executive Director, Jennifer Valenti, who works not only to improve the lives of people with an intellectual disability but also to help families navigate through the labyrinth which is Developmental Services. In the few short years since she has been in this position, she has earned herself a very enviable reputation among her peers in the Province. Together there is hope that our community will indeed become more and more accepting and supportive of all its citizens. REPORT BY THE EXECUTIVE DIRECTOR Jennifer Valenti, thanked the board of directors for their ongoing support in the past years. She also thanked the staff for being a great team, her senior team including Joanne Roy. She continued by a PowerPoint of the year in review: - Community Living Month, Spring Fling and Rib Fest fundraiser, EYC playground, Special Olympics Winter games and 60 th anniversary celebration - Outcomes Fund that helped recipients with the cost of vacations, visiting families, communication device, hockey tickets, etc. - Cedarview Residence re-opened this year to accommodate two new people - Plumtree Residence is set to open this year - City bus wrap with our logo, slogan and promoting our Employment Service - Centralization to F-J Dellandrea hopefully by next Annual General Meeting. COMMUNITY LIVING NORTH BAY WEBSITE Ben Dick from Sofa Communications unveiled our brand-new website. The new website has a more user friendly design, easy to navigate, and more responsive to be viewed on ipad or phones. Every page has a Hero Bar that we can insert pictures. SUMMARY OF FISCAL Renée Hacquard, Director Corporate Services gave a summary of financial fiscal year. This was a successful year financially with additional overall government funding to cover wage enhancements and two additional residential spots. We have seen an increase in profit at the Home Style Café, Early Years and Data Analysis Coordinator changing ministry to Ministry of Education, new revenue stream with our Passport funding. This year, a new source bingo revenue was added to our fundraisers which brought a total of $25,296. With the fundraised dollars, we were able to pay out $15,000 towards applications in our Outcomes fund, and we were a gold sponsor for the 2015 Special Olympics Winter Games. During the year, we supported 705 individuals across 12 different programs and 25,000 child visits in our Early Years Centre, and we had 7,224 volunteer to help us. Overall, Community Living

PRESENTATION Hélène Morin-Chain and Jennifer Valenti recognized Norma Butkevich, Candace Barry, Lana Arsenault, Kcristal Spiess, Rosanne Filion, Sue Wannek, Joan and Raymond Crawford (not present), and Rosemary and Neil Simpson (not present) for being a member for 25 consecutive years. They all gained our lifetime membership status and received a thank you card and a hanging basket of flowers. 1.0 CALL TO ORDER The Chair called the meeting to order. The mission statements were read by Keith Dee and Tammy Allan. The Chair then asked Jennifer Valenti, Executive Director, to act as Secretary for this year s Annual General Meeting. The Secretary confirmed that notice of the meeting had been given to the Members in accordance with the requirements of the organization s Bylaw. The Chair confirmed that there was a quorum present and the business of the meeting was declared properly constituted for the transaction of the Annual General Meeting. 2.0 AGENDA That the agenda be approved as presented. 3.0 DISPENSE OF MINUTES That all members have been provided with the minutes. 4.0 MINUTES OF 2014 ANNUAL GENERAL MEETING That the minutes of last year's Annual General Meeting dated June 16, 2014 be adopted as amended. 4 Annual General Meeting Minutes Page 4 of COMMUNITY LIVING ONTARIO REPORT BY KEITH DEE Keith Dee, Director of Membership Services spoke about their work as the provincial association which includes one hundred associations as members from all seven regions of Ontario. Community Living Ontario also values the dedication, the commitment and the enthusiasm of all the members, the volunteers, the employees as well as people supported by Community Living North Bay. Hélène Morin-Chain thanked Keith for attending our Annual General Meeting. 6.0 CANADIAN ASSOCIATION FOR COMMUNITY LIVING REPORT BY KIMBERLEY CARSON Kimberley Carson, National Director of Development and Communications spoke about their work at a national level. Their work is in Canada and around the world by sharing information, fostering leadership for inclusion, engaging community leaders and policy makers, seeding innovation, supporting research and legal case. She informed us that if you are a member of Community Living North Bay, you are also a member of the Canadian association. Hélène Morin-Chain thanked Kimberley for attending our Annual General Meeting. 7.0 AUDITOR'S REPORT The audience was informed that the Audited Financial Statement was available this evening or by contacting the Administration Office. The Chair invited Dean Decaire, organization's accountants, BDO Dunwoody LLP, to present the Financial Statement and Auditor's Report for the fiscal year and same was presented. That the Financial Statement and Auditor s Report be approved as presented. 8.0 AUDITORS That the firm of BDO Dunwoody LLP be our accountant for the coming year

5 Annual General Meeting Minutes Page 5 of YEAR Upon motion duly made, seconded and carried by the majority, the following resolution was That all acts, contracts, bylaw proceedings, appointments and payments, enacted, made, done and taken by the Directors and Executive of the organization to date as the same are set out or referred to in the resolutions of the Directors and members or in the financial records of the organization be and the same are hereby approved, ratified and confirmed BYLAW MOTION By motion passed at the February 9 and March 9, 2015 meeting of the Board of Directors, the following motions were approved regarding Bylaw #22 and upon motion duly made, seconded and carried by the majority, the following resolution was passed by the membership. Bylaw #22: Memberships Community Living North Bay shall be an Association of individuals and organizations that subscribe to the Mission, Vision and Goals of Community Living North Bay and that seek membership. The Members shall be in five categories: a) Individual Members shall be any parent or guardian of individuals with an intellectual disability, or any person interested in the mission, vision, purposes and objectives of the association who seek to be members of Community Living North Bay within the terms of this Bylaw. Each member will have voting privileges at the Annual General Meeting. b) Associate Members shall be persons, businesses or organized groups who have an interest in people with an intellectual disability and who subscribe to the mission, vision, purposes and objectives of Community Living North Bay. They shall receive all association communications through but have no voting privileges at the Annual General Meeting. c) Lifetime Membership will automatically be conferred on any member having twenty-five years of membership or any member who chooses to pay an individual Lifetime Membership in the amount fixed by the association. Such members will have voting privileges at the Annual General Meeting. d) Annual Membership will be extended to all voting members who pay the annual fee to the association each year at an amount fixed from time to time by the association, and will hold that membership between April 1st to March 31st of the given year. There is no annual fee for an Associate membership.

6 Annual General Meeting Minutes Page 6 of 7 e) Membership is not transferable. A single membership shall entitle the member to one (1) vote. For voting privileges a membership must be paid at least forty-five (45) days prior to the annual meeting NOMINATION The Chair then asked Robyn Grigg, Nomination Chairperson, to explain this year s procedure in recruiting Board Members. She confirmed that a slate of Nominees had been constituted pursuant to the Bylaw of the Association ELECTION OF OFFICERS Robyn Grigg, Election Chairperson introduced each candidate who allowed their name to stand NOMINATED FOR DIRECTORS Robyn Grigg confirmed that the following persons had been nominated for the five Directors' seats pursuant to the Bylaw, prior to the Annual General Meeting. Everyone spoke on their behalf. Stella Curtis Hélène Morin-Chain Bonnie Roynon Jo-Anne Welton Ranjan Rupal The nominees for Directors position were declared. That the Board of Directors for the year be accepted as presented.
