2 MINUTES OF THE ANNUAL GENERAL MEETING INSTITUTE OF INTERNAL AUDITORS, SASKATCHEWAN CHAPTER TUESDAY, MAY 23, 2013 REGINA, SASKATCHEWAN 54 Saskatchewan Chapter members attended the meeting. CALL TO ORDER 12:20 PM. OPENING REMARKS Karen O Brien, President, welcomed the membership. ADDITIONS TO THE AGENDA There were no additions to the agenda. MINUTES OF THE 2012 ANNUAL GENERAL MEETING Minutes of the 2012 Annual General Meeting (AGM) were sent to members after the meeting. There were no changes made. Motion That the minutes of the 2012 AGM be adopted as written. 1 st Don Walker, 2 nd Ross Topp FINANCIAL REPORT Brenda Louvel, VP Finance, distributed copies of the reviewed financial statements for the year ending May 31, 2012 and the projected financial statements for the year ending May 31, Highlights May 31 Financial Statements Cash is higher that past years and this has an impact to deferred revenue. Accounts Payable is lower due to timing. On the Statement of Operations, revenue is lower because the institute hosted 7 events as compared to 17 the year prior. Additionally, the statement does not include the training week that is currently occurring. 3 MINUTES OF THE ANNUAL GENERAL MEETING INSTITUTE OF INTERNAL AUDITORS, SASKATCHEWAN CHAPTER TUESDAY, MAY 23, 2013 REGINA, SASKATCHEWAN WAIVE REQUIREMENT FOR AUDITOR Motion That the requirement for an audit, as specified under the provisions of the Non Profit Corporation Act be waived for the year ended May 31, The President is to arrange for a review engagement on the financial statements for the year ended May 31, st Ross Topp, 2 nd Gary Gehring INTERNAL AUDIT AWARENESS MONTH PROCLAMATIONS Karen O Brien announced the proclamation from the City of Regina, City of Saskatoon, and Province of Saskatchewan proclaiming May 2013 as Internal Audit Awareness Month. ACKNOWLEDGEMENT OF CIAs & CRMAs Don Walker acknowledged members who received their CIA and CRMA designations in the year. MEMBERSHIP RECOGNITION Karen O Brien recognized the IIA volunteers and the organizations that sponsored the IIA volunteers. Membership for the Chapter was at 305. PRESIDENT S REPORT Karen O Brien, President, delivered her report, and indicated that we anticipate that the Saskatchewan Chapter will continue to maintain its performance level of platinum, which is the highest level of performance awarded by the IIA. There will be a greater emphasis on luncheons for members and a greater need for volunteers. IIA CANADA S CANADIAN INSTITUTE PROJECT UPDATE Linda Klassen delivered an update on the IIA Canadian Institute project. ADJOURNMENT Motion That the 2013 Annual Meeting be adjourned. 22 President s Report It s tradition at the AGM for the President to make a report to the membership. I will make my comments brief, and focus on some of our achievements and challenges over the past year: Programs: We held 15 Chapter events this year 9 in Regina and 6 in Saskatoon. It takes a lot of work and coordination with our members to organize that many events over the course of a year, so I would like to thank the Programs committee, event organizers and speakers for their support. Our programs landscape has been challenging for a couple of years. There are many training options available in the marketplace, and the emergence of on-line training and webinars provides our members with even more choice. We constantly strive to determine the needs of our membership, so please talk to us about your training needs to help us plan our events. Membership: We saw our membership slip somewhat this year to 264, largely to some big changes in the size of some large audit shops. While this is still significantly higher than the last time I was President, we know there are lots of non-members performing internal audit and related work in the Province, and we are trying to understand their needs and explore ways to increase our membership. Volunteers: Our volunteer base remains strong. We had non-board members assisting the Chapter this year, and several different companies assisted with organizing lunch events. We really appreciate this support and offer our sincere thanks it s due to your volunteer support that the Chapter is able to operate. Our Chapter is continually in need of volunteers to take an active role in supporting the IIA and serving the profession. I call on all of you to consider how you can get involved and support your Chapter there are many ways to contribute. Finally, I wanted to thank the Board and Executive for all their hard work over the past year. It has been an honour for me to again serve as your Chapter President, and now I look forward to working with David Helberg, our incoming president, and the new Chapter Board in the coming year. 23 IIA Saskatchewan Chapter 2013/14 Certifications The year just ended saw a number of Saskatchewan Chapter members receive certifications. This brings the chapter up to approximately 37% of our membership having at least 1 IIA designation (CIA, CRMA, CGAP, CCSA, CFSA). I believe that is an excellent showing from our chapter and an indication of the value of the designations and the commitment of our members to be as educated and qualified as they can be. 25 May 16, 2014 Dear IIA Saskatchewan Chapter Members: Subject: Message from Incoming President Welcome to our returning and new members of the Saskatchewan Chapter of the Institute of Internal Auditors (IIA). To our new members, thank you for joining. As returning members can share with you, the Saskatchewan Chapter is very active with a range of program offerings and social events. The Chapter is comprised of a network of over 250 members throughout Saskatchewan and I would encourage you to maximize the value from your membership by taking full advantage of the Chapter's offerings and networking opportunities. The Board of Governors of the Saskatchewan Chapter are here to serve your needs as a member. While I have the pleasure of serving as the incoming Chapter President, the success of the Chapter would be impossible without the active support and participation of our Board Members, and I would like to recognize them for their service. Moreover, because of the Board's continued hard work and dedication, the Saskatchewan Chapter was recently named a Chapter of Excellence by the IIA. The IIA Chapter of Excellence program was introduced in 2010 to recognize chapters for their belief in quality education and support of the CIA designation, specifically through The IIA s CIA Learning System program. Several exciting programs and events await us over the next year, with many thanks to our past president, James Barr, former vice-president of program services, Ross Topp, our incoming vicepresident of program services, Amy Lunov, and the entire programs committee for starting the planning process early this year. We continue to respond to member needs by providing timely and relevant local training, such as the upcoming ACL Course, specifically designed for users who want to use ACL more effectively in real-life situations. Additionally, the Chief Audit Executive Roundtable Series will continue to meet, discussing timely topics that are relevant to our audit leaders. Also, we will be launching new program initiatives, such as, Ask the CEO & CFO, where our members will have the opportunity to pose questions to CEO s & CFOs about their perspectives on internal auditing and how we can add value, and the Audit Professional Roundtable Series where audit professionals below the CAE level will discuss topics such as, how to prepare yourself for the CAE role or move into the business, with tips from those that have successfully made the transition. Finally, we will continue to organize various networking and social activities for our members throughout the year. The strength of our Chapter is centred on the level of involvement by you.
