2 DO S: Fees & Product Consumption Nutrition Clubs are social gatherings, bringing people together with a focus on good nutrition. Complimentary drinks are served for consumption within the Club. A daily, weekly or monthly membership fee may be charged to cover operational costs, but the fee must not represent the price or cost of products, which may be offered to members and their guests for consumption. 2

3 Product Consumption Club operators may not mix shakes or teas using alcoholic beverages, medications or other inappropriate ingredients. 3

4 Product Consumption Carry out Nutrition Club products must be consumed inside the Club. Registered Club members may carry-out one shake or one cold tea* per day from the club, but only in unbranded containers of not more than one single serving. 6 Sampling & Product Retailing $2.00 All Herbalife products must be sold unopened and in their original Herbalife packaging. Products which are not packaged and labeled for individual sale as individual units or single servings may not be sold in the Nutrition Clubs, or elsewhere. Loose tablets may not be sampled. 6

7 Product Claims Club members may share their experiences from using the products, but the products are not intended to diagnose, treat, prevent or cure any disease or medical condition. Don t give the impression that a doctor or medical professional is recommending the products. 7

8 Display Nutrition Club members may share their experiences from using the products, but the products are not intended to diagnose, treat, prevent or cure any disease or medical condition, and under no circumstances should there be any statements, advertising or implications to the contrary. 8

9 Product Consumption In the Nutrition Clubs and elsewhere, Herbalife products must always be served, consumed and applied in accordance with the instructions on the printed product labels. 9

10 DO S: Product Display Club operators may display product-related literature, promotional items, Herbalife products, unopened and in their original packaging, but such displays may not be visible from the exterior. 10

13 DO S & DON TS: Good Hygiene Nutrition Club operators should always practice good hygiene and maintain clean and sanitary Club premises 13

14 DO S: Required Advisory for Posting Every Nutrition Club operator must post the Nutrition Club Advisory and Advisory for Nutrition Club Operator in prominent places of the Club. 14

15 DO S: Required Advisory for Posting Club Operators must display Herbalife Advisories in a prominent place. 15

16 DO S: Product Display Only Herbalife products may be displayed, provided for consumption or sale in the Club. Non-Herbalife products may not be provided, sold or promoted. Prices may not be displayed. Product display should not be visible from the exterior. 16

18 Window and Door Coverings, Display Nutrition clubs should not present any kind of advertising on the exterior of the club, and the inside of the club should not be visible from the street. Herbalife logos must not be used on the exterior of the club. 18

19 Window & Door Coverings Nutrition Club operators must ensure the interior of the Club is not visible to the exterior. May not use poster as window and door covering. The word shake or pictures of shakes, or any other products, even unbranded, are not permitted in window. 19

20 Window & Door Coverings Before & After photographs are not permitted in or as window and door coverings of the Clubs. 20

21 DOS: Window & Door Coverings The Interior of the Club is not visible to persons from the exterior, by use of opaque frosting without colors and imagery. 21

22 Display in the Exterior Should not put product display, tables and chairs outside the Nutrition Clubs. 22

23 Window & Door Coverings Nutrition Clubs operating in non-residential locations must ensure the interior of the Club is not visible to the exterior, by use of window coverings. Window and door coverings must be unbranded, and they may not state, imply or suggest (even without words) that retail products are available for purchase inside. The word shake or pictures of shakes, or any other products, even if unbranded, are not permitted in or as window and door coverings. 23

30 Signage Nutrition clubs should not present unreasonably large signs that attract walk-ins or use words to advertise services offered as part of the Nutrition Club. (example the use of the words: Healthy Club.) Clubs may not use images that are or could be associated with Herbalife 30
