1 Matt Talbot Retreat Movement Inc. Spiritual Retreats for Recovering Alcoholics ANNUAL MEETING January 10, 2016 Greetings and Salutation s Matt Talbot Retreat Group Officers and Happy New Year! As our meetings have evolved and as more of our retreat groups responded to attend, I would like to take this opportunity to introduce my theme for the upcoming Annual Meeting SURVIVIAL OF THE RETREAT GROUPS. We have come to the realization that more and more retreat groups are losing their venues due to facility closure by lack of financial support or diocesan realignment. The survival of your retreat group may lie in the balance. Ideas and alternative s relating to this situation would generate the perfect dialogue and intercommunication with each group, which could spawn many types of various discussions during our meeting Please understand that this theme is just some food for thought but it could prove to be very valuable to the struggling displaced retreat groups. In addition to this, we will also be demonstrating, in real time, the proper way to navigate around the Matt Talbot Website. With that being said, you are invited to attend the Annual Matt Talbot Retreat Movement Business Meeting on March 6, 2016, located at The Pines Manor Edison, New Jersey at 10:30 Sunday morning. If you want to bring more people, additional meals are available at cost. 1:00 PM Annual Meeting Begins immediately after lunch. We Need New Trustees. And we need Trustees willing to commit time to the unglamorous work it takes to keep the Movement going and to make possible the Retreats which are so important in recovery for so many. Also, please fill in the information on the back of the response form which will give us current information about your group. While it would be wonderful to have all 202 groups in attendance, we realize that distance alone prevents this. Please give us your comments and suggestions. If you cannot attend, please sign and mail in the enclosed PROXY. Election Notice Please read carefully At the Annual Meeting of the Matt Talbot Retreat Movement Inc., the terms of the following members of the Board of Trustees will expire: David McIntyre, Stewart Brebnor, Shannon Sked, Chris Dilcher, Mary Kilkeary and John Garvin. Not all of these trustees may ask to be re-elected. To fill any of the at least five positions, you may nominate anyone you chose subject to the following criteria: 1. He or she must be in attendance at the Annual Meeting in order to briefly qualify and demonstrate their involvement with the Matt Talbot Retreat Movement and Purpose. 2. MUST be a member of the Matt Talbot Retreat Movement with three (3) years continuous sobriety, and generally have made at least two retreats. 7 PROPOSED AMENDMENTS BY-LAWS OF THE MATT TALBOT RETREAT MOVEMENT, INC. ARTICLE II: PURPOSE AND PRAYER 2.1 The purpose of the Corporation is to promote among alcoholics the Layman's Retreat Movement, to assist said alcoholics in their spiritual rehabilitation, to aid and encourage the formation of groups for the same purpose under the name of THE MATT TALBOT RETREAT GROUP, to promote the name and good works of our patron, MATT TALBOT, and in every manner permissible, to further his beatification and eventual canonization in the Holy Roman Catholic Church, and to provide financial assistance to worthy alcoholics *[Group Members] for the purpose of defraying incidental expenses *[for medallions and literature], in connection with making of a retreat. ARTICLE IV: TRUSTEES 4.1 The property, affairs, activities, and concerns of the Corporation shall be vested in a Board of Trustees, consisting of twenty-one (21) *[fifteen (15)] Trustees. The members of the Board shall upon election, immediately enter upon the performance of their duties and shall continue in office until their successors shall be duly elected and qualified. No person shall be elected or serve as a Trustee of the Corporation unless such person meets the following qualification: (a) Attendance at two or more Matt Talbot Retreats; (b) At least three continuous years of sobriety preceding his election; (c) Presence at the meeting at which he or she is nominated and elected; and (d) Membership in the Corporation as an individual member. 4.2 At the annual meeting of the Delegates next held at which these by-laws are adopted, there shall be an election by ballot for twenty-one (21) Trustees of the Corporation, seven (7) of whom shall be elected for a term of one (1) year, seven (7) for two years, and seven (7) for three (3) years. *[The number of the Board of Trustees was amended in March 2016, and will now consist of fifteen (15) Trustees of the Corporation.] Nominations for Trustee shall be submitted to the Secretary in writing prior to the Annual Meeting and will not be taken from the floor. At each annual meeting of the Delegates thereafter, a number of Trustees equal to that of those whose terms have expired shall be elected for the term of three (3) years. At the expiration of any term of three (3) years, any Trustee may be reelected. * Proposed amendments
