2 Chairman s Report Page 2 THE MS SOCIETY OF TASMANIA I would like to commence my final Chairman s report by thanking and acknowledging the tremendous support received during my role as Chairman over this past two years. The staff of the Society, my Board colleagues, key stakeholders, our partners, fundraisers and most importantly consumers and carers. Your advice, guidance and willingness to share your own personal experiences has meant that not only has the Society been able to make an informed decision about its future, but at a more personal level I was also incredibly humbled and motivated by your stories of triumph and challenges. Thank you. You may recall in last year s I outlined the significant challenges that the Society was facing. As a result of a root-and-branch review undertaken by the Board with the assistance of KPMG, the Board concluded that the Society: will not be a sustainable or viable organisation if it continued with its current business model will not be a competitive service provider under the NDIS, and primarily given its size, limited resource base and lack of preparation for the introduction of the NDIS. Through a comprehensive consultation process, the Board listened to and heard very clearly from its members that paramount to them was the need to ensure the existence of a specialist multiple sclerosis service provider within the Tasmanian health and welfare landscape. In order to meet this objective, the Board working with staff and with the assistance of KPMG identified a number of potential new business models, concluding that a merger with an interstate multiple sclerosis society held the greatest opportunity for a specialist provider to remain in Tasmania. The Tasmanian Board approached Multiple Sclerosis Limited (MSL), which is a conglomerate of Societies from ACT, NSW and Victoria, seeking their interest in a potential merger. With strong support from MSL and the necessary due diligence concluded by each party respectively, the Tasmanian Society undertook further consultation with members and key stakeholders to outline a proposal that would see Multiple Sclerosis Tasmania merge with MSL. With strong member support for a merger, a Special General Meeting of Multiple Sclerosis Tasmania was called and a formal vote undertaken that resulted in more than 90 per cent of members supporting the merger with MSL. As a consequence of this vote, MSL and MST have worked incredibly hard to not only join the organisations through a range of business processes but also to appreciate and respect each other s culture.

3 THE MS SOCIETY OF TASMANIA On 1 July 2016 the Multiple Sclerosis Society of Tasmania merged with MSL and its deregistration and wind-up processes are now well underway. For some, the merger reflects a sense of sadness that after its 56 years of operation the Tasmanian Society's capacity to meet the financial and regulatory challenges was not achievable independently. The strength of the Society is and has always been in ensuring that people living with multiple sclerosis and their carers are central to all its activities, services and advocacy. This central principle paved the way for the merger to occur, as it allowed the decision to move forward with a merger to be a relatively easy one. The merger is very reassuring as it has allowed a specialist multiple sclerosis service to remain firmly in place within Tasmania. The service will continue to be delivered by Tasmanians and an organisation that is dedicated to improving the health and welfare outcomes for people affected by multiple sclerosis. This is a critically important outcome given the National Disability Insurance Scheme. To ensure Tasmania is represented at the highest level of MSL, both Sharlene Brown and I have been appointed as Directors on the MSL Board and we invite you to make contact with us through MSL if you would like to discuss any facet of consumer engagement, advocacy, service delivery or governance in the future. In conclusion, thank you for your interest in multiple sclerosis and the Society. Thank you to all those staff, consumers, carers, Board members and other stakeholders who ensured that people living with multiple sclerosis and their carers living in Tasmania have always had a voice and specialist service over the past 56 years. Your continued support into the future is equally important to ensure that people with multiple sclerosis remain at the forefront of government funding and policy decision making, specialist service delivery, research and education. 4 THE MS SOCIETY OF TASMANIA Summary Financial Statement Directors Report The Multiple Sclerosis Society of Tasmania (MS TAS) merged with Multiple Sclerosis Limited (MSL) which is the merged entity of the MS Societies of NSW, Victoria and the ACT. MS Tasmania has been operating within an environment of unprecedented change. Significant reforms are taking place nationally in the disability sector the most significant being the rollout of the National Disability Insurance Scheme (NDIS). After a rigorous assessment the MS Tasmania Board unanimously agreed that in light of the changing funding environment and increasing competitive market, MS Tasmania would not be a financially sustainable or viable organisation if the current business model were to continue. The Board further agreed that the key benefit is securing a future for MS Tasmania, as an amalgamated organisation was to ensure that people in Tasmania living with MS would be able to continue to access services. Multiple Sclerosis Limited shares the vision and values of MS Tasmania and is primarily concerned by the future and wellbeing of people affected by multiple sclerosis, and as an MS organisation they feel a duty of care to people affected by multiple sclerosis in Tasmania. MSL was subject to a detailed due diligence process for MS TAS by KPMG, which confirmed it is a well-managed and financially viable organisation. With the size of MSL, the ability to achieve operational efficiencies and an opportunity to leverage shared infrastructure, the merger would not only provide an affordable and sustainable future of service delivery for people affected by multiple sclerosis in Tasmania, but would also provide potential for expansion and growth in the services provided, as well as more effective fundraising events and opportunities. The merger will also provide enhanced capacity for advocacy, an ongoing commitment to research and a higher profile in the community. On 23 March 2016 a members vote took place at a Special General Meeting, with the result as follows: RESOLUTION A: Constitution Additional to Objects: 95% FOR RESOLUTION B: Constitution Winding Up Provisions: 93% FOR RESOLUTION C: Merger with Multiple Sclerosis Limited: 98% FOR On 24 March the Directors of MSL and MS TAS came together to hear the outcome of the MS TAS member vote, and to discuss and endorse the final merger documents and Integration Plan. Both Boards were, and continue to be, committed to a collaborative approach for the project with an open and transparent exchange of information. The aim is to keep all stakeholders involved and informed with the best interests of People affected by Multiple Sclerosis at the forefront. On 1 July The MS Society Deed of Merger and Deed of Gift was signed. Page 4
