1 BYLAWS GOVERNING THE COLLEGE OF ARTS and SCIENCES STAFF COUNCIL AT THE UNIVERSITY OF KENTUCKY Articl 1. Nam Th nam of this organization shall b th Univrsity of Kntucky Collg of Arts and Scincs Staff Council. Articl 2. Purpos Sction 1. Th Collg of Arts and Scincs Staff Council shall srv 1) as an advisory and consulting group for th Dan and 2) as spoksprsons for th concrns and intrsts of th Collg's staff mmbrs with th unifid objctiv of improving th ducational and working nvironmnt of th Collg and th Univrsity as a whol. Sction 2. Th Council is not a forum for prsonal grivancs or complaints. Articl 3. Mmbrship Sction 1. Th Staff Council shall b composd of twlv voting mmbrs, rprsntativs from ach campus district (North, Cntral and South) with qual rprsntation basd on population prcntags and on at-larg rprsntativ, with th Dan of th Collg of Arts and Scincs or his/hr dsign staff srving as Ex-Officio mmbrs. Th Council Chair rsrvs th right to invit staff ladrs to mtings to provid xprtis or guidanc. (Dfinitions of districts ar outlind in th Standard Oprating Procdurs, hrar rfrrd to as th SOP.) Sction 2. All rgular staff mploys of th Collg, full or part-tim, ar ligibl to srv ar a continuous thr month priod of mploymnt in th Collg of Arts and Scincs. Sction 3. Council Mmbrs will b lctd as outlind in th SOP. Sction 4. If th staff mmbr who is lctd is unabl to srv, th staff mmbr rciving th nxt highst numbr of vots from th sam district and ara will b lctd (ara and district as dfind in th SOP). Sction 5. All rprsntativs will srv thr-yar trms; ths trms will b staggrd so that ach yar's council will consist of both nw and vtran rprsntativs, thrby nsuring continuity. Sction 6. A Council rprsntativ's trm of offic shall run from July 1 through Jun 30, to nsur consistncy through th ntir acadmic yar. Sction 7. If a sitting lctd council mmbr is no longr abl to srv, a rprsntativ will b chosn (pr guidlins addrssd in th SOP).

2 Sction 8. A Council rprsntativ s sat shall b dclard vacant whn th following conditions occur: a). Whn mploymnt status changs, causing him or hr to no longr mt th Council's ligibility rquirmnts. b). Whn a mmbr is absnt without just caus from thr conscutiv rgular mtings, h or sh may b dismissd from th Council by a simpl majority vot. Articl 4. Oprational Powrs Sction 1. Th Staff Council shall hav th gnral authority--subjct to th approval of th Dan of th Collg of Arts and Scincs or his/hr rprsntativ--to draw up ruls and rgulations and lct officrs to facilitat its own oprations. Sction 2. Th Council may xamin and mak rcommndations to th Dan of th Collg of Arts and Scincs, or his/hr dsignatd rprsntativ, on any staff issus within his or hr jurisdiction; howvr, th Council's primary focus shall b on thos mattrs which hav an impact on th working conditions and mploymnt of th ntir Collg's staff mmbrs. Sction 3. Th Council may rqust to rviw appropriat rports and/or rciv informal brifings on all aspcts of collg and univrsity lif affcting staff mmbrs. Sction 4. Each yar, th Council will host th Collg of Arts and Scincs' Outstanding Staff Mmbr Awards (pr guidlins addrssd in th SOP). Sction 5. With th approval of a budgt allocation from th Dan, or his/hr dsignatd rprsntativ, th Council will host a Staff Apprciation Day ach yar to rcogniz th contributions and achivmnts of Arts and Scincs staff mploys. Sction 6. Any rsolutions adoptd by th Council shall b rfrrd to th Dan of th Collg of Arts and Scincs, or his/hr dsignatd rprsntativ furthr action. Articl 5. Officrs Sction 1. Th officrs of th Collg of Arts and Scincs Staff Council shall consist of a Chairprson, Vic-Chairprson and Rcording Scrtary. Th Chairprson, Vic-Chairprson and Rcording Scrtary of th Council shall b staff rprsntativs nominatd by othr Council mmbrs or thmslvs and lctd by a simpl majority vot via scrt ballot for a on-yar trm. Sction 2. Th first lction shall tak plac at th first mting ar adoption of ths Bylaws. Subsquntly, officrs shall b lctd at th bginning of ach nw trm yar. Sction 3. Th trm of lctd officrs of th Council shall b from 1 July through Jun 30. Officrs may b lctd to srv conscutiv trms.

3 Sction 4. Th Chairprson shall prsid at Staff Council mtings. Th Chairprson shall also, with th hlp of th Rcording Scrtary, dvlop th agnda for rgular mtings, convn spcial mtings whn dmd ncssary, appoint subcommitts, nforc Council rgulations, and ovrs Council activitis and communications. Sction 5. Th Vic-Chairprson shall assum th dutis of th Chairprson whn ncssary and othrwis carry out rsponsibilitis dlgatd by th Chair. Sction 6. Th Rcording Scrtary will inform Council mmbrs of schduld mtings, rcord th minuts of all Council mtings, and post to th Arts and Scincs Staff Council public wbsit. Th Rcording Scrtary will also maintain Council mting attndanc rcords and inform th Chairprson if any mmbr has thr conscutiv unxcusd absncs. Sction 7. An offic shall b dclard vacant if th officr is no longr a mmbr of th Council bcaus of rsignation or dismissal (S Articl 3, Sction 8). Sction 8. In th vnt of a vacancy in th offic of Chairprson, th Vic-Chairprson shall assum th dutis of th Chair until a spcial lction can b hld at th nxt rgularly schduld Council mting to fill th vacancy. Likwis, in th vnt of a vacancy in th offic of Vic- Chairprson or th Rcording Scrtary, a spcial lction shall b hld to fill th vacancy. Articl 6. Mtings Sction 1. Th Staff Council shall convn as frquntly or infrquntly as ncssary at a tim convnint for all mmbrs. Mtings as ndd, may b calld by th Dan, his/hr dsignatd rprsntativ, Council Chair, or Council Vic-Chair. (S th SOP for all procdurs rlating to Articl 6, Sctions 1-5.) Sction 2. All Collg of Arts and Scincs staff mploys may introduc agnda itms for th Council's considration by contacting thir staff rprsntativ, th Council Chairprson, or th Rcording Scrtary. Agnda itms may b introducd by proxy or, whn appropriat, a staff prson may choos to addrss th Council dirctly. Sction 3. In a timly mannr prcding ach mting, th Rcording Scrtary shall snd an agnda and minuts from prvious mting to all Council mmbrs and confirm th mting location. Sction 4. A simpl majority of th Council mmbrship shall constitut a quorum for transacting businss. Voting shall b by a show of hands xcpt for lction of officrs. Sction 5. Approvd minuts of Council mtings shall b distributd to all Collg Arts and Scinc staff mploys via -mail or Staff Council public wbsit. Articl 7. Adoption of Bylaws

4 Ths bylaws shall b adoptd by a majority vot of all currnt Collg of Arts and Scincs staff mmbrs. Articl 8. Amndmnt of Bylaws Ths bylaws can b amndd at any rgular mting of th Staff Council with at last a quorum of Council mmbrship prsnt. Th motion will carry with a two-thirds majority vot, providd that th amndmnt has bn prviously submittd in writing to th Council mmbrship. Prior to a vot, all proposd changs must b distributd to all Collg of Arts and Scincs staff mmbrs so that thy hav th opportunity to voic thir agrmnt or disagrmnt through thir Council rprsntativs. Articl 9. Savings Claus In th vnt that any portion of th Staff Council bylaws is invalidatd, for any rason, this shall not invalidat any othr portion of th bylaws.
